Dana Incorporated has entered into an agreement to combine with Eaton Mobility Group in a move that could significantly reshape the commercial vehicle supplier landscape, particularly for fleets and service truck operations that rely heavily on drivetrain and powertrain components.
The transaction brings together two complementary portfolios, integrating Dana’s expertise in axles, driveshafts, thermal management, and sealing technologies with Eaton Mobility’s transmissions, engine components, and electrification systems. The result is expected to be a more comprehensive supplier capable of supporting both traditional internal combustion platforms and emerging electrified vehicle architectures.

For service truck operators and technicians, the combined company could translate into broader parts availability, improved integration across systems, and stronger aftermarket support. With fleets increasingly requiring faster turnaround times and simplified parts sourcing, a unified supplier offering drivetrain, transmission, and electrification components under one umbrella may reduce complexity in both maintenance and inventory management.
The combined business is projected to generate approximately $11 billion in annual sales based on estimated 2026 figures, with a stronger margin profile driven in part by operational efficiencies and a more balanced product mix. Synergies are expected to reach $250 million annually within 24 months following the close of the transaction, primarily through manufacturing optimization, purchasing scale, and engineering efficiencies.
From a structural standpoint, the agreement is being executed as a Reverse Morris Trust transaction, with Eaton shareholders expected to hold just over half of the combined company and Dana shareholders owning the remainder. The company will continue operating under the Dana name and remain listed on the New York Stock Exchange.
The deal also reflects broader industry shifts toward electrification and integrated systems. By combining resources, the companies aim to accelerate development of electrified drivetrains and related technologies—an area of growing importance as both on-road fleets and vocational trucks begin adopting alternative power solutions.
Paulo Ruiz, Eaton Chief Executive Officer, emphasized the strategic alignment of the deal.

The transaction is expected to close in the first quarter of 2027, pending shareholder approval and regulatory clearances.
